Novadx Closes Second Tranche of Non-brokered Private Placement
Novadx Ventures Corp, President & CEO, Neil MacDonald, reports:
Novadx Ventures Corp. (TSX-V: NDX) announces that it has closed on 2,009,000 units of a non-brokered private placement of the Company that was previously announced on April 3, 2009, at a price of five cents per unit, for gross proceeds of $100,450. Each unit consists of one common share and one-half of one non-transferable share purchase warrant. Each whole warrant entitles the holder to acquire one additional common share at an exercise price of $.10 per share for a period of 24 months from the date of closing. Insiders of the Company subscribed for a total of 1,109,000 units.
The proceeds of the private placement will be used for investment and working capital. The common shares forming part of the units, as well as any common shares issued upon exercise of the warrants, are subject to a four-month hold period, which will expire at midnight on September 6, 2009.
The MacDonald's Children Family Trust (the "Trust") of Vancouver, BC has subscribed for 500,000 units of the private placement. The Trust now holds 500,000 common shares, representing 1.8% of the Company's outstanding capital. It also owns an additional 250,000 share purchase warrants. The Company's CEO, Neil MacDonald of Vancouver, BC controls the Trust and has personally subscribed for 509,000 units of the private placement. Mr. MacDonald now holds 2,603,809 common shares of the Company. When combined with the holdings of the Trust, Mr. MacDonald controls an aggregate of 3,103,809 common shares representing 11.2% of the Company's outstanding capital. Mr. MacDonald also acquired personally, an additional 254,500 share purchase warrants. Assuming the exercise of all warrants acquired by Mr. MacDonald and the Trust in this tranche of the private placement, Mr. MacDonald would then own or control an aggregate of 3,608,309 common shares, representing 12.8% of the Company's then outstanding capital.
NovaDX is advised that the securities were acquired by the Trust and Mr. MacDonald for investment purposes. While they do not currently have any intention to acquire further securities of the Company, the Trust and Mr. MacDonald may in the future acquire or dispose of securities of NovaDX, through the market or otherwise, as circumstances or market conditions warrant.
